Abstract: 为防止经济过热,政府出台了一系列针对房地产市场的宏观调控,提高了房地产企业的融资门槛。传统的融资渠道已经很难满足房地产业的需求,酒店作为房地产产业的一种行业,由于相比其他行业长等投资回报周期特点,迫切需要银 行以外的其它融资渠道,来解决开发和经营的资金问题。寻找新的充裕、稳定的 资金来源的融资渠道对于融资困难重重的我国酒店行业来说尤为重要。作为一种新的融资方式,在境外日益成熟的房地产投资信托(Real Estate Investment Trusts,以下简称REITs),独特的融资和投资模式正逐渐得到我国政府和房地 产产业(酒店行业)的重视。在发布的《中国旅游业 "十二五" 发展规划纲要》 征求意见稿,其中就提到要建立旅游发展专业基金公司。随着 "十二五" 期间经 济转型其中一大举措(大力拉动国内消费),势必对于酒店行业的发展有持续性 推动。在中国酒店类房地产投资信托也将为中小投资者投资酒店行业提供平台, 分享行业投资成果。 本文首先回顾中国酒店发展及融资渠道现状,以及中国资本市场发展现状引 出REITs 对于酒店类房地产融资和投资的需求。接着通过对REITs 的概念及信托 法的角度诠释REITs 的结构,以及美国、亚洲各国的REITs 发展历史及经验回顾, 然后从REITs 的设立、运行等方面分析我国设立REITs 以支持酒店行业发展的可 行性。结合我国国情分析了我国发展REITs 面临的障碍及有利条件,最后从酒店业发展趋势下解决障碍的可行途径角度,提出作者对我国发展酒店类REITs 的建议。
