| dcterms.abstract | 创新是发展的驱动力，要创新发展已经成为各国共识，创新也已经成为中国的国家战略。企业作为创新的主体,其创新能力受到多方面因素的影响，股权结构是其中重要的影响因素。随着资本市场和机构投资者的迅速发展，机构投资者对其投资企业的作用引起了国内外众多研究者的关注。机构投资者作为被投资企业的股东，有没有参与了该公司的治理？如果参与了，那机构投资者是如何参与公司治理的？机构投资者如果参与公司治理是否会减少委托代理成本？机构投资者是否会通过影响创新环境、创新投入和创新组织进而影响企业的创新产出？本文基于我国建设创新型国家、实施创新驱动战略和我国机构投资者不断发展壮大的背景,通过研究中国企业中最有代表性的样本——中国上市公司的最新数据来探究机构投资者对企业创新所起的作用。本研究主要从以下方面展开：首先，基于我国建设创新型国家和机构投资者发展迅速的背景；其次，从机构投资者持股比例和企业创新能力出发，基于TOE框架（技术-组织-环境，Technology-Organization-Environment）和企业创新理论研究机构投资者如何通过影响创新环境、创新投入和创新组织，进而影响企业创新产出。并用资源基础理论（RBV）进一步分析无形资源（新闻、营销、激励）和有形资源（专利申请、研发投入和创新机构）对于创新产出的影响。本研究选取了中国3651家上市公司，2015年月至2017年相关数据作为研究样本进行实证分析，并在研究过程中分析了现有上市公司创新评价方法，新构建了创新评价指数来进行对上市公司创新状况进行分析和比较。本文的创新之处主要在于：一、创新能力评价指数的开发和应用。二、实证分析了机构投资者对于企业创新影响的中介作用。基于TOE理论，通过分析组织、投入、和环境的中介作用来研究机构投资者对于企业创新的影响。三、中国情境下的实证分析。本文研究发现：机构投资者比例对创新产出有正向影响；机构投资者比例与创新中介变量的关系；创新中介变量与企业创新产出的关系。综上，本文的核心结论是：机构投资者比例对创新产出有正向影响；机构投资者通过创新组织中的创新激励这一中介变量起到对创新产出的正向影响。本文的研究结论带来如下启示：对于机构投资者而言，要想通过参与企业治理促进企业创新，有效的方式是影响到创新激励这一变量，即推动企业采取股权激励、创新容错机制、超额利润分享机制、项目跟投机制、竞争上岗等方式对创新进行鼓励。从推动国家和行业、企业创新发展的角度上看，政府、企业可采取发展创新激励、创新机构和提高创新投入中的专利申请数等措施促进创新。 | en_US |
