dcterms.abstractThis article is the case study of an acquisition taken place in a regional office in Hong Kong. It is a real acquisition case in the Healthcare industry happened in 1998. The motivation of the target company to divest and that of the acquirer to buy the business unit will be analyzed based on the environmental conditions and the companies' situation in the year of deal, 1998. It was found that the reason for the acquirer to take-over this business was not strong and reasonable enough in this case. Through the process of reviewing the acquisition, some critical issues were spotted out and criticized. The problems created by the critical issues would affect the long-term performance of the company and caused the failure of the deal. The subsequent development of the case revealed that the acquisition was a failure one for the retrenchment strategies employed after one year of take-over. The reasons for the failure of this case could be classified into three types: Fit issues, Process issues and Cultural Crash & Personnel Problems, which were found to be echoed with the common reasons of failure outlined by other literatures. This article gives the implication that any mishandling of any stages of the acquisition process would lay an intangible problem, which may spoil the process or in the worse case jeopardize the business.en_US
